Tempus and Recursion Extend Data Partnership Through 2029 and Add TxFM RNA Model License

A 2023 data relationship is now extended through November 2029

Tempus AI and Recursion Pharmaceuticals are extending a data partnership that began in 2023, pushing the committed collaboration term through November 2029. The agreement keeps Tempus’ multimodal data capabilities connected to Recursion’s technology-driven drug-discovery platform for another three years.

The extension is a straightforward sign that both companies see continuing utility in the relationship. Tempus has built a large library of clinical and molecular data for precision medicine, while Recursion uses large-scale biological and chemical datasets with foundation models to identify and advance therapeutic programs.

Keeping the data arrangement in place gives the two companies a longer operating window to integrate those capabilities rather than treating the original collaboration as a one-time data transaction.

The amended economics add $42 million of committed payments

As part of the extension, the companies amended the annual license-fee structure under their original master agreement. Discretionary license fees that could have totaled $84 million over the next two years have been replaced with committed payments totaling $42 million over the next three years.

The important distinction is the move from potential future license fees to a defined committed payment schedule tied to the longer collaboration term. That gives Tempus contracted economics over a three-year period while Recursion retains continued access under the extended arrangement.

The companies did not frame the update as simply renewing an old contract. They paired the data extension with a second technology agreement that adds a foundation model to the relationship.

TxFM brings Recursion’s RNA foundation model into Tempus’ toolset

Under a separate license agreement, Recursion granted Tempus a non-exclusive worldwide license to TxFM, its proprietary RNA sequencing foundation model. TxFM is designed to learn useful representations from complex gene-expression data and connect information across different transcriptomic experiments and sample types.

Recursion has described TxFM as a model built to harmonize diverse transcriptomic datasets into a common representation space. For Tempus, access to that model adds another computational layer that can be applied alongside its clinical and molecular information assets.

The model license broadens the relationship from data access alone toward shared use of advanced computational tooling, which fits both companies’ focus on applying foundation models to precision medicine and therapeutic discovery.
